1. How These Terms Apply
By using the Website you agree to comply with and be bound by these Terms. You must not use the Website if you do not agree to them.
I reserve the right to change these Terms at any time. I will take reasonable steps to make you aware of changes, for example by posting them on the Website. You agree to be bound by the version of the Terms displayed on the Website at the time you use it.
2. Access
You are responsible for making all arrangements necessary to access the Website. I make reasonable efforts to ensure the Website is available 24 hours a day but cannot guarantee this. The Website may be temporarily unavailable for maintenance, technical reasons, or reasons beyond my control.

A breach of clause 4.2 may constitute a criminal offence under the Computer Misuse Act 1990. I may report any such breach to the relevant law enforcement authorities.

I reserve the right to terminate or suspend your access to the Website immediately and without notice if you breach these Terms, are impersonating another person, or have engaged in fraudulent or illegal activity.

Any review, feedback or rating you submit may be published on the Website and displayed for as long as I consider appropriate.

10. Limitation of Liability and Indemnity
If you are a consumer, nothing in these Terms affects your statutory legal rights.
I cannot exclude or limit my responsibility to you for: death or personal injury resulting from my negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded.
I will not be liable for any economic losses, loss of goodwill or reputation, special or indirect losses, or loss of data arising from your use of the Website for commercial purposes.
If you are a consumer, I am responsible for foreseeable loss or damage you suffer as a result of a breach by me of these Terms or my failure to act with reasonable care and skill.
11. Use of Personal Data

12. General
If any of these Terms are found to be unenforceable, invalid or illegal, the rest will continue in full effect. These Terms are in English only. I will not lose my rights under these Terms by reason of any delay by me in enforcing them.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Scotland. If you are a business, the courts of Scotland shall have exclusive jurisdiction. If you are a consumer, you may bring proceedings in the Scottish courts or, if you live in England or Wales, in the courts of either Scotland or England and Wales.

1. Introduction
This document (together with any documents referred to in it) sets out the terms and conditions (the ‘Conditions’) upon which I will supply the Services to you. Please read it carefully and print or save a copy for future reference.
‘Business Day’ means a day other than a Saturday, Sunday or public holiday when banks in Edinburgh are open for business.
‘Event Outside My Control’ has the meaning given in clause 14.
‘Services’ means the coaching, NLP practice and consultancy services listed on the Website which I may supply.
Before confirming your order, please read these Conditions carefully — in particular the cancellations policy at clause 10 and the limitation of liability at clause 12.
By ordering any of the Services, you agree to be legally bound by these Conditions. You will be unable to proceed with your transaction if you do not accept them.

3. Eligibility to Purchase
To be eligible to purchase the Services and lawfully enter into a contract with me, you must be 18 years of age or over.
4. Price
The prices of the Services are quoted on the relevant page of the Website.
Prices are based on performance of the Services in the United Kingdom unless otherwise specified.
Unless otherwise stated, the prices quoted exclude VAT (I am not VAT registered).
5. Payment
Payment can be made by any major credit or debit card, bank transfer, or through such other methods as are stated on the Website from time to time.
By placing an order, you consent to payment being charged to your chosen payment method as provided on the order form.
Payment for coaching packages is required in full in advance of the first session. Payment for individual sessions is required prior to that session taking place.
I shall contact you should any problems occur with the authorisation of your payment.
6. Interest
Unless clause 6.2 applies, you must pay me interest on any amounts you owe me and fail to pay on the due date at the rate of 3% a year above the base lending rate of Bank of Scotland from time to time, accruing daily from the due date until the date of payment, whether before or after judgment.
I will not charge you interest for the period of a dispute in respect of an invoice you dispute in good faith, provided you have advised me within a reasonable time of receiving it.
7. Order Process and Formation of Contract
All orders are subject to acceptance and availability. If I am unable to supply the Services, I will notify you and refund any sums you have paid.
Any order placed by you for the Services constitutes an offer to purchase them from me.
A ‘Confirmation Notice’ means an email I send to you to confirm that I shall be providing the requested Services. A Confirmation Notice constitutes my acceptance of your offer.
A contract between us incorporating the version of these Conditions in force at the time of your order comes into existence when I send you the Confirmation Notice. You may print and keep a copy for future reference.
If you think there is a mistake in the Confirmation Notice, please contact me to discuss. Any variation to the Contract other than those permitted in clause 7.6 is only binding when agreed in writing by both of us.
I may make changes to these Conditions as a result of changes in applicable laws, changes in how I accept payment, or changes in VAT. I will give you written notice of such changes before supplying the Services.
8. Performance of Services
The Services will be performed by video call, telephone, in person, or by the means agreed between us at the time of booking.
When I accept your order, I will confirm estimated start and session dates. I will endeavour to perform the Services in accordance with those dates.
If you fail to attend a booked session without giving me at least 48 hours’ notice, I reserve the right to charge the full session fee.
If I need information from you in order to provide the Services, you must provide complete and accurate information by the date I request it. Failure to do so may result in delay, suspension, or termination of the Services.
9. If There Is a Problem with the Services
If the Services do not conform to the Contract — for example, because they have not been provided with reasonable care and skill — please contact me with details of the problem as soon as reasonably possible.
I will endeavour to remedy any such issue at my own cost and as soon as reasonably practicable.
Nothing in these Conditions affects your statutory rights as a consumer.
10. Cancelling Your Contract
10.1 Cancelling Before Confirmation Notice
You may cancel your order at any time before I send you a Confirmation Notice by contacting me as set out in clause 10.5.
10.2 Cancellation After Confirmation Notice (14-Day Cooling-Off Period)
The ‘Cancellation Period’ means the period of 14 days starting with and including the day after I send you a Confirmation Notice.
If you wish me to begin providing the Services during the Cancellation Period, you must request this and acknowledge that you will lose the right to cancel once the Services have been fully performed.
Subject to clause 10.2 above, you may cancel the Contract within the Cancellation Period by notifying me of your decision to cancel.
10.3 Session Cancellations (After the Cooling-Off Period)
If you wish to cancel or reschedule an individual session, please give me at least 48 hours’ notice. Sessions cancelled with less than 48 hours’ notice will be charged in full.
If you wish to cancel a coaching package part-way through, I will refund you for any sessions not yet delivered, less a reasonable administration charge.
10.4 Refunds on Cancellation
Where you are entitled to a refund, I will process it within 14 days of receiving your cancellation notice, using the same payment method you originally used unless we agree otherwise.

11. Complaints
If you have a comment, concern or complaint about any Services you have purchased from me, please contact me in the first instance by email at admin@colmcillecoaching.co.scot or by telephone on +447736327119. I will acknowledge your complaint within two Business Days and endeavour to resolve it within 14 Business Days.
If you are not satisfied with my response, you may refer the matter to ANLP International CIC through their professional standards process.
12. Liability and Indemnity
I have a duty to supply Services that conform to the Contract, including a duty to carry them out with reasonable care and skill. I cannot exclude liability for failure to do so.
I cannot exclude or limit my responsibility to you for: death or personal injury resulting from my negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded.
I am responsible for foreseeable loss or damage you suffer as a result of a breach of the Contract or my failure to act with reasonable care and skill.
Coaching is not a substitute for professional medical, psychological, financial or legal advice. I do not accept liability for decisions you make or actions you take as a result of coaching sessions. You retain full responsibility for your own decisions and actions.
If you purchase the Services for any business purpose, I will not be liable for any business losses, loss of profits, loss of contracts, or losses due to interruption of business.
13. My Rights of Termination
I reserve the right to terminate the Contract by writing to you if: you fail to make any payment when due and do not remedy this within 14 days of my reminder; you behave in a manner that I consider abusive, threatening or otherwise inappropriate during sessions; or you provide materially false information in order to obtain Services.
14. Events Outside My Control
I shall not be responsible for delays or failures in performance resulting from any act, event, omission, failure or accident outside my reasonable control (‘Event Outside My Control’), including but not limited to illness, bereavement, severe weather, or failure of third-party technology platforms.
I will notify you promptly of any Event Outside My Control and will take all reasonable steps to minimise any delay. If an Event Outside My Control continues for more than 30 days, either of us may end the Contract and I will refund you for any Services not yet delivered.
15. Use of Personal Data
I will request personal information from you whilst you use the Website and in connection with the delivery of Services. This information will only be requested and processed in accordance with my Privacy Notice, which can be found at https://colmcillecoaching.co.scot/privacy/.
I will act fairly in connection with personal information I request from you. Unless the information is necessary for a reason specified in UK GDPR, I will only process it with your consent.
16. Third Party Rights
Except for my affiliates, directors, employees or representatives, a person who is not a party to the Contract has no right under the Contract (Third Party Rights) (Scotland) Act 2017 to enforce any term of the Contract.
17. Other Important Terms
If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions and the remainder of the provision in question will not be affected.
All Contracts are concluded in English only.
If I fail to insist upon strict performance of any of your obligations under the Contract, this shall not constitute a waiver of my rights. A waiver of any default shall not constitute a waiver of any subsequent default.
18. Governing Law and Jurisdiction
These Conditions and the Contract are governed by the laws of Scotland. You can bring legal proceedings in the Scottish courts. If you live in England or Wales you may bring proceedings in either the courts of Scotland or England and Wales. If you live in Northern Ireland you may bring proceedings in either the courts of Northern Ireland or Scotland.
